Terms of Service
The agreement between you and HarbourX when you open an account, hold digital assets with us, convert them, or settle to your bank.
1. Who we are
HarbourX is operated by [registered company name], a company registered in [jurisdiction] under number [company number], with its registered office at [registered address]. In these terms, “HarbourX”, “we” and “us” mean that company, and “you” means the person who holds the account.
We are [registered / licensed / not licensed] with [regulator and licence number, or a plain statement that no licence is held and what that means for you]. This is one of the most important facts on the page, so it must be stated exactly and kept current.
2. What this service is, and what it is not
HarbourX is a custody and settlement service. We hold digital assets you already own, convert them to a supported currency at your instruction, and settle the proceeds to a bank account in your own name. That is the whole of it.
We do not give financial, investment, tax or legal advice. Nothing on this site, in the portal, or in any message from our team is a recommendation to buy, sell or hold anything. We do not manage your assets, we do not trade on your behalf, and we never promise a return. Any decision about what you hold, and when you convert it, is yours alone.
3. Who can open an account
To hold a HarbourX account you must:
- be at least 18 years old and able to enter a binding contract;
- be acting for yourself, not for an undisclosed third party;
- not be resident in, or a national of, a country we cannot serve — the current list is at [link to the restricted-countries list];
- not appear on any sanctions list we are required to screen against; and
- complete the identity checks in section 4.
We may refuse to open an account, and may close one, without being able to tell you why — there are circumstances where the law forbids us from explaining. Where we can tell you, we will.
4. Identity verification
Before you can convert or withdraw, we have to know who you are. You agree to give us accurate identity and address documents, and to tell us within [number] days if anything in them changes.
You can watch the status of your own verification in your dashboard from the moment you submit it. While it is under review you can still deposit and hold; conversion and settlement open once it is complete.
If we cannot verify you, or if documents you give us turn out to be false, we will close the account and return the balance to a source we are satisfied is yours.
5. Your account and its security
Your account is yours alone. You may not share it, sell it, or let anyone else use it.
You are responsible for keeping your password and your second factor safe. Two-factor authentication is set up when you open the account, and we strongly recommend leaving it switched on — you are given backup codes at enrolment for the day your phone is not with you.
Tell us immediately at support@harbourx.org if you think someone else has reached your account. Until you do, instructions given with your credentials are treated as given by you.
6. Holding your assets
Assets you deposit are recorded to your account and held separately from our own. [State here exactly how: which custodian, whether balances are pooled or segregated on-chain, and what happens to your assets if HarbourX becomes insolvent. A client's legal claim in an insolvency turns on this paragraph, so it cannot be left vague.]
We do not lend out, stake, rehypothecate or otherwise use your assets. They sit where you put them until you instruct otherwise.
Deposits appear in your portfolio once the relevant network has confirmed them. A deposit sent to an address we did not give you, or in an asset we do not support, may be unrecoverable — we will help where we can, but we cannot promise to.
7. Conversion and pricing
When you ask us to convert, we quote you four figures before you confirm: the market rate we are pricing against, the gross value, our fee, and the amount that will land in your balance. Confirming the quote is your instruction to proceed.
A quote is good for the moment it is shown. Digital asset prices move, and if the market moves materially between quote and confirmation we may re-quote rather than fill at a price that is no longer real.
Our fee is stated as its own line and is never hidden inside a worse rate. The current schedule is at [link to the fee schedule]. We will give you [number] days' notice before a fee increase takes effect.
8. Withdrawals and settlement
You may withdraw to a bank account held in the same name as your HarbourX account. An account in someone else's name will be refused; this is the rule that keeps settlement clean, and it is not one we can waive.
A payout account is verified once and then used for every later settlement without a fresh review. Settlement times depend on your bank and the payment rails involved, and we will tell you what to expect before you confirm.
Where a release fee applies to your account, it is shown in the withdrawal summary and again at the point of confirmation, with the amount stated. It is paid separately and does not reduce the amount you are withdrawing.
We may hold a withdrawal where we are required to by law, where verification is incomplete, or where we have a reasonable concern about fraud or coercion. If we do, we will tell you as much as we are permitted to.
9. Risk
Digital assets are volatile. Their value can fall as well as rise, quickly and without warning, and you can lose money. Past movement tells you nothing about future movement.
Holding assets with HarbourX does not protect you from that. We hold and move what you own; what it is worth is the market's business, not ours.
Digital assets are [covered / not covered] by [the relevant compensation or deposit guarantee scheme, or a plain statement that no such protection applies]. State this plainly: it is the fact clients most often assume wrongly.
10. What you must not do
You must not use HarbourX to launder money, finance terrorism, evade sanctions or tax, or move the proceeds of crime. You must not use it on behalf of someone you have not disclosed to us, or to disguise the origin of funds.
You must not attempt to interfere with the platform — no probing, scraping, automated access outside any interface we publish, or attempts to reach another client's data.
We monitor for these things because we are required to, and we report what we are required to report.
11. Suspension and closing an account
You may close your account at any time once any pending instruction has settled. Tell us through the support centre and we will return your balance to a verified destination in your name.
We may suspend or close your account if you breach these terms, if we are required to by law or by a regulator, or if keeping it open would expose you or us to a risk we are not willing to carry. Except where the law forbids it, we will give you [number] days' notice and a reasonable opportunity to withdraw your balance first.
12. Liability
Nothing in these terms limits our liability for fraud, for death or personal injury caused by our negligence, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for losses caused by the market moving, by your own instructions, by a failure of a blockchain network or a bank, or by your losing control of your credentials. [State the overall cap on liability and how it is calculated. A cap that is not clearly stated is a cap that will not be relied on.]
13. Changes to these terms
We may change these terms. Where a change materially affects you we will give you [number] days' notice by email and in the portal before it takes effect, and you may close your account before it does if you do not accept it. Smaller corrections take effect when published, and the version and date at the top of this page always tell you which version you are reading.
14. Governing law and disputes
These terms are governed by the law of [jurisdiction], and the courts of [jurisdiction] have exclusive jurisdiction over any dispute.
Before it reaches a court, please raise it with us: our complaints process sets out how, and what happens next.
15. Contact
Write to support@harbourx.org or open a ticket in the support centre, which reaches a person rather than a form queue.
